Our desire is to delight the client. One way is to make clear our understandings with each other. These are the terms of our agreement together:

1. During the first month of service business advancement will create Ordered Number Of Listings for you on the overture network including keyword sales descriptions, the client will pay Setup + Deposit to start the campaign on line, in the overture network.

2. Client will need to re-constitute account finances as needed to stay in search results; the work won't be started until client has paid in full the amount of Setup + Deposit up-front towards "clicks" to start this contractual agreement.

LIMITS

1. After the completion of the first 30 days work and the Purchaced # Of keywords products and descriptions creation, businessadvancement.com will charge the client Maintinance Fee per month to update and change up to Agreed # products listings per month or 30 day period.

1A - Agreement of Inclusion: We (businessadvancement.com) will refer to the Agreed changes as "Credits" for the purpose of this agreement and allow the client to accrue said "Credits" for a period of three (3) months or quarterly. When at the 90th day of earned "Credits" during the 3 months of accrual are not utilized, all accrued credits will become invalid and the 20 changes or "Credits" will begin to accumulate for the next three (3) month period.

2. Again, "Credits" for this agreement can be used at any time during the three (3) month period or cycle starting at the pay date of the contract. i.e. (use them any time you like in each three month period up to (Program Monthly x 3) all credits for changes to the account will re-start at 0 on the end of the third month cycle. This is in reference to changing descriptions as needed.

3. Outside of the product listing changes as stated above, we (businessadvancement.com) will charge 45.00 per hour for changes regarding your listings. Client is required to supply lists of needed changes as requested and provide to businessadvancement.com in order to make said changes.

4. The maintenance provided by businessadvancement.com is intended to also up-keep bids at reasonable rates according to client's instruction; this is always included and with no limits.

TERMS

1. Changes requested by the client beyond those limits will be billed at the hourly rate of ----$65.00 Hourly---. This rate shall govern additional work authorized beyond the maximums specified above for such services as general Internet orientation education, market consulting, web page design, editing, modifying product pages and databases in an on line store, and art, photo, graphics services, and helping clients learn how to use their own web page editor. CGI programming charges (if any) are not included in this rate. These services are generally not requested by our PPC Management clients but can always be requested.

2. Completion Date. Businessadvancement.com and the client must work together to complete the Setup in a timely manner. We agree to work expeditiously to complete the initial PPC Setup no later than 30 days from the initial payment date of Setup + Deposit for clicks.

3. If the client does not supply Businessadvancement.com complete List of Phrases or Words and Or Wording for all advertisements contracted for, within six weeks of the date this contract was signed and paid, the entire amount of the contract is still due and payable. If the client has not submitted complete text and or wording content within two months after signing of this contract, an additional continuation fee of 10% of the total contract price will also be assessed each month until the website maintenance contract has ended.

(YOU HAVE PROVIDED KEYWORDS BY HAVING A WORKING WEBSITE)

Since the above has already been provided the Client will need to assist with the important review and approval for the final products listings commissioned work.

4. Payment of Fees. Fees payable to Businessadvancement.com are due and payable on the following schedule: Setup + Deposit upon signing this agreement (Monthly Fee) per month when the Advertisements have gone public.

The monthly maintenance will be invoiced to client payable in ten (10) days of receipt. If the total amount of this contract is less than $200.00, the total amount shall be paid upon signing this contract.

In case the client has not secured Web space on a web hosting service by the time the advertisements are completed, contract fee is still due as stated above.

5. It is understood that the client is required to pay a minimum of six (6) months of maintenance and per month "click" fees. If client decides to cancel the account or management of the account prior to the end of this six (6) month period, client continues to have responsibility to pay those agreed upon terms for the duration of the said six (6) month period. It is understood that this monthly maintenance and "clicks" fees are still due and client is required to pay regardless of your decision to cancel your advertisement, non payment will go to collections with interest of 12% monthly.

Client has the right and can cancel businessadvancement.com"s services only after the minimum period of six (6) months has been exhausted or paid.

In the event of a hostile cancelation or written or verbal refusal to pay www.businessadvancement.com will leave your account active untill such a date that payment is not recieved.

Before a collection of the account is processed and once clients account has been considered delinquent for 10 or more days businessadvancement.com will close clients account and liquidate the remaining cash value of that account but will do so only in such a case were the client has outstanding obligations related to this agreement and has made written or oral refusal to pay remaining obligations with businessadvancement.com

In all other cases were the client has completed his obligations and or has not refused to pay remaining contractual obligations but has still decided to cansell, client will be refunded in full any remaining cash value of thier account.

If client agrees to continue using businessadvancement.com's services, client has the right to cancel said services at any time without penalties after the minimum of six (6) months has been met.

The PPC service is month to month after initial 6 month contract term has ended and is never pro rated, refunds are not offered if client failes to make use of availiable service for the month payed.

client is not paying for time used but for the aviliablily said time on a month to month basis basis as described above in this agreement and it is the client duty to stop payment of mothly fee if client wishes to cancel agreement for service after initial 6 month terms has ended.

Client is only required to continue to remit payment after initial 6 month term if client wants to retain services.

Any payments recieved after the inital 6 months constitute a automatic renewal of the monthly maintinance portion of this agreement.

Because client makes payment and is billed through paypal wich acts on clients behlaf it is the clients duty to cancel payments to our company for service if the client wishes to discontinue service, client shall do so by logging into his/her appropriate paypal account and making a canselation of particular subscription.

To cancel adds on overture network client may call 1-800-281-0589 or email Eling.orton@gmail.com and the adds will be canceled within 14 days.

Because this contract is month to month beetween www.businessadvancement.com and with client after initial six months period and because payments are made by client via paypal wich acts as third party to all transactions and in this case on clients behalf, any request to cancel the www.businessadvancement.com biling cycle should be made with paypal and not with businessadvancement.com

CLIENT agrees to the terms herein automaticly when paying any invoice for PPC Management services and IS bound to its terms and conditions automaticly and without formal signature.

One of our reps will call asap to obtain your credit card information that will be needed for basic account setup and to charge your account with initial funds towards clicks, please note the Budget amount you would like to start your account with.
